Does anyone know where a death would be registered if death occurs at sea.
I'm referring specifically to my grandmother who was killed on the first night of WW2
on the Athenia, just off Ireland.

Was your grandmother from Ireland or elsewhere in the British Isles? You could try searching for her death in the Irish Civil Registration indexes at

She was English and lived in Canada, She had been visiting Liverpool and was on her way home to Toronto when the ship was sunk. I'll give your suggestion a try as it was sunk fairly close to Northern Ireland and rescues were carried out from there. Thank you very much for youe help

She might be listed in the passenger manifests for the Athenia at the subscription site Ancestors on Board at http://www.ancestorsonboard.com/ . This is a British website with manifests of passengers leaving the British Isles.
